EDGAR FAQ

Q: What kind of documents can be submitted to the EDGAR system?
A: EDGAR only accepts documents in HTML or ASCII formats. All documents must be converted to HTML/ASCII before they can be submitted to EDGAR. TNT Filings can convert any advanced document for you.

Q: Why are some EDGAR Filings in Adobe PDF format?
A: Since HTML/ASCII documents don't often print well, the SEC has decided to allow PDF's to be attached as additions to HTML/ASCII filings. All filings must be submitted in HTML/ASCII but can contain PDF’s as unofficial documents for printing and sharing purposes.

Q: A company or an individual has never filed with the SEC before, what do they need to do?
A: They must complete a FORM ID and send it to the SEC via EDGAR.

Q: How does a company pay for EDGAR fees?
A: Once the FORM ID has been accepted by the SEC, the company will be issued a CIK number. This number serves as an account number with Mellon Bank and is used for paying fees. More information regarding EDGAR Fee payments can be found at: http://www.sec.gov/info/edgar/fedwire.htm.

Q: What if a company cannot make an EDGAR Filing deadline?
A: The Company must file a Notice of Late Filing (Form 12b-25). This filing is due one business day after the original filing due date. Dependant on the type of filing, the Form 12b-25 will extend a company's deadline by 5 to 15 calendar days.
