IMPORTANT NOTE
Some filings with SEDAR require CDS and/or CSA fees to be paid at the time of the filing (see SEDAR Related Fees for more info). TNT Filings does not front payment of SEDAR fees. For filings that do require fee payments, a TNT Filings representative will inform you of the fees and how to send payment ahead of time.

SEDAR

System for Electronic Document Analysis and Retrieval is the electronic system of filing Canadian disclosure documents. Developed by the CSA (Canadian Securities Administrators), SEDAR Filing came into effect January 1 1997, and is now mandatory for most public companies and mutual funds in Canada. SEDAR was developed to facilitate the following:

  1. Electronic filing of securities information (prospectuses, continuous disclosure documents, etc.) and the payment electronically of CSA filing fees as required by the securities regulatory authorities in Canada;
  2. Public dissemination of securities information collected in the securities filing process; and
  3. Electronic communication between electronic filers, filing agents and the securities regulatory authorities.

As of September 1999, SEDAR only accepts PDF documents (Portable Document Format). PDF is a file format developed by the Adobe Corporation. PDF documents must be viewed using the Adobe Acrobat Reader.

About the CDS The Canadian Securities Administrators have appointed CDS INC. ("CDS") (a subsidiary of The Canadian Depository for Securities Limited) as the filing service contractor for the SEDAR system. In that role, CDS administers and operates the system while providing assistance to the filing community.

CDS is Canada's national securities depository, clearing and settlement hub, holding $2 trillion on deposit and handling 30 million securities trades annually.

CDS is owned by major Canadian chartered banks and members of the Investment Dealers Association of Canada and The Toronto Stock Exchange Inc.

CDS is regulated by The Ontario and Quebec securities commissions and Bank of Canada, with working and reporting relationships with the Canadian Securities Administrators, other provincial securities commissions and the Office of the Superintendent of Financial Institutions.
