Agent Company An agent account is a third party account for an individual with multiple subsidiaries or reporting companies that require filing through EDGAR, SEDAR or SEDI. Companies that sign up as agent have the ability to select different billing options such as bill to client or bill directly to the agent. Agents can assign specific contacts for specific companies and can check the status or invoices of all different companies. A company account is for a single company that files on the EDGAR, SEDAR or SEDI systems. This account handles filings directly for the individual company itself only. A company can restrict the permissions of a specific user (i.e to just submit filings, to only view invoices, etc.)

Primary Contact Information
This user will have adminstrative access for the company. Primary contact can add new users and assign permission to other users for certain sections of FileXpress. Please make sure a valid email is provided to ensure communication between user and FileXpress.

Billing Information
Billing Contact: if the billing contact is different than the primary contact then uncheck the Billing contact checkbox. Enter the required information and specify the permissions that the billing contact will have for this company at FileXpress. Access to view invoices is the only default permissions that is given to the billing contact.

Billing Address: if the billing address is different than the company address then uncheck the Billing address checkbox and enter the required information.

Invoice Copy: you may either recieve an electronic copy of an invoice and/or a mailed paper copy. If you do not select on of these options the invoice will only be available online through FileXpress.

The Company acknowledges that it is solely responsible for the content of the documents and its accuracy. The Company warrants that the undersigned has the authority of the company to authorize submission of filings. All EDGAR/SEDAR/SEDI filings are executed by TNT Filings as instructed and authorized by the Company. Data and/or services may only be accessed by an individual to whom TNT has assigned an individual username, who has selected a password, and is located at the specific location of Customer as set forth on the Customer’s submitted registration. In no event may Customer offer the use of any www.tntfilings.com data or service as a part of a service bureau, time-sharing, or other similar arrangement. The data and services available at www.tntfilings.com are provided to the Customer for the personal use of the Customer and not for re-sale or redistribution. www.tntfilings.com may be used only for the purpose of Customer’s internal affairs, the conduct of its business, or providing professional services to Customer’s clients. Customer acknowledges that data and/or services available at www.tntfilings.com constitute valuable and proprietary property of TNT or of third parties who have contributed to the development of data and/or services. If Customer wishes to use the data and/or services in any manner not expressly permitted by this Agreement, Customer may request permission from TNT by giving to TNT a written description of the intended use and such other information as TNT may request. Permission may only be granted by an authorized representative of TNT. The granting of such a request may entail an additional fee payable by Customer. As a condition of Customer’s use of the TNT Web Sites, Customer will not use www.tntfilings.com for any purpose that is unlawful or prohibited by this Agreement. Customer will not use www.tntfilings.com in any manner which could damage, disable, overburden, or impair the www.tntfilings.com website or restrict, inhibit or otherwise interfere with any other party’s use and enjoyment of the www.tntfilings.com website. Customer will not attempt to gain unauthorized access to the www.tntfilings.com website, other accounts, computer systems or networks connected to the www.tntfilings.com website, through hacking, password mining or any other means. Customer will not obtain or attempt to obtain any materials or information through any means not intentionally made available through the www.tntfilings.com website, including without limitation through the use of data mining, automated programs, robots, spiders, crawlers, or similar data gathering and/or extraction tools. Section 2. Username and Password Protection. Customer shall maintain as personal and confidential their unique username and password(s). Customer is prohibited from transferring or sharing their username and from revealing the activating password(s) to any other person. Any violation of the foregoing shall result in an immediate termination of Customer’s access rights to www.tntfilings.com as well as liability to TNT for all damages resulting from such breach. It is Customer’s sole responsibility to protect the activating password(s) from unauthorized use. Customer will be responsible for any charges to Customer’s username. Section 3. TNT Reservation of Rights. TNT reserves all rights not expressly granted to the Customer, including, but not limited to the right to alter, modify, update, enhance or improve www.tntfilings.com. Section 4. Taxes and Invoices. You acknowledge and agree that following the commencement of any type of www.tntfilings.com is subject to General Sales Tax as applicable for all Canadian based companies. Section 5. Term and Termination. This Agreement is effective until terminated. This Agreement will terminate automatically without any notice from TNT if Customer fails to comply with any provision of this Agreement. Upon termination for such cause, Customer shall no longer be permitted access to www.tntfilings.com, and each Customer username shall be deactivated. Termination for such cause shall not affect TNT’s entitlement to any sums due hereunder. Section 6. Indemnification. Customer shall defend, indemnify, and hold harmless TNT from and against any and all claims, actions, causes of action, liabilities, damages, costs and expenses, including reasonable attorneys’ fees arising out of or related to claims or actions brought or made by third parties against TNT as a result of Customer’s use or application of www.tntfilings.com. Section 7. Copyright. The data and services available at www.tntfilings.com, as well as any enhancements, modifications, improvements, revisions, new releases, and updates thereto, including, without limitation, the structuring, indexing, sequencing and organizing thereof, and all other elements of, or aspects related thereto, such as, by way of example and not limitation, data fields, methods of processing, specific design and structure, the interaction of documents contained therein and unique design techniques employed therein as well as document storage and quality assurance methodologies, are the valuable, confidential, copyrighted and trade secret property of TNT or third parties who have contributed thereto. Customer shall comply with all applicable conventions regarding copyright and source of material attribution. Section 8. Links. The www.tntfilings.com website may contain links to third party Web sites ("Linked Sites"). The Linked Sites are not under the control of TNT and TNT is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. TNT is not responsible for webcasting or any other form of transmission received from any Linked Site nor is TNT responsible if the Linked Site is not working appropriately. TNT is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by TNT of the site or any association with its operators. Customer is responsible for viewing and abiding by the privacy statements and terms of use posted at the Linked Sites. No action arising under this Agreement may be brought by either party more than one year after the cause of action has accrued. The exclusive jurisdiction for any action arising under this Agreement shall be the Courts of Toronto, Province of Ontario. Customer agrees that no joint venture, partnership, employment, or agency relationship exists between Customer and TNT as a result of this Agreement or use of the www.tntfilings.com website. Any notice required under this agreement shall be effective upon mailing by certified mail, return receipt requested, or via facsimile transmission sent to the address or facsimile telephone number of the respective party. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. Section 13. Limitation of liability. In no event will TNT be liable to Customer (1) for any consequential, incidental or special damages, including any lost profits or lost savings, even if TNT has been advised of the possibility of such damages, or (2) for any claim by any third party. TNT’S ENTIRE LIABILITY AND CUSTOMER’S SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION, INCLUDING NEGLIGENCE, SHALL BE LIMITED TO RETURN OF THE FEES PAID FOR THE SERVICE OR ACTIVITY SPECIFICALLY RELATED TO THE CLAIM. 

Section 14. Force Majeure. Performance of TNT hereunder is subject to interruption and delay due to causes beyond its reasonable control such as acts of God, acts of any government, war or other hostilities, the elements, fire, explosion, power failure, telecommunications failure, industrial or labor dispute, inability to obtain supplies and the like, or breakdown of equipment or any other causes beyond TNT’s control. 

Section 15. General. This Agreement will be governed by the laws of the Province of Ontario, excluding the application of its conflicts of law rules. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. No action arising under this Agreement may be brought by either party more than one year after the cause of action has accrued. The exclusive jurisdiction for any action arising under this Agreement shall be the Courts of Toronto, Province of Ontario. 

Customer agrees that no joint venture, partnership, employment, or agency relationship exists between Customer and TNT as a result of this Agreement or use of the www.tntfilings.com website. 

Any notice required under this agreement shall be effective upon mailing by certified mail, return receipt requested, or via facsimile transmission sent to the address or facsimile telephone number of the respective party. 

If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. This Agreement shall automatically terminate upon failure by Customer to comply with its terms. This Agreement may only be modified in writing signed by an authorized representative of TNT. TNT’s failure to act with respect to a breach by Customer or others does not waive TNT’s right to act with respect to subsequent or similar breaches.
